Key Responsibilities:
Contract Drafting and Negotiation:
Draft, review, and negotiate a variety of contracts, including power purchase agreements (PPAs), EPC contracts, supply agreements, joint venture agreements, and financing documents.
Ensure contracts align with company policies and risk management standards.
Regulatory Compliance:
Monitor and advise on legal and regulatory developments in the renewable energy sector.
Ensure compliance with local, national, and international laws and regulations.
Project Development Support:
Provide legal guidance on project development, including land acquisition, permitting, and grid connection.
Assist in resolving legal issues related to project implementation.
Corporate Transactions:
Support mergers, acquisitions, and other corporate transactions, including due diligence and transaction structuring.
Draft and review transaction documents, including share purchase agreements and shareholder agreements.
Dispute Resolution:
Manage disputes, litigation, and arbitration matters, working closely with external counsel when necessary.
Develop strategies to minimize legal risks and protect the company’s interests.
Corporate Governance:
Advise on corporate governance matters and ensure compliance with corporate policies and procedures.
Assist in the preparation of board resolutions and other corporate documents.
Qualifications:
Education:
Bachelor’s degree in Law (LLB) or equivalent; a Master’s degree (LLM) or additional qualifications in energy law or corporate law is a plus.
Experience:
Minimum of 5 years of legal experience, preferably in the renewable energy sector or related industries/law firm deals.
Proven experience in contract drafting, negotiation, and regulatory compliance.
Familiarity with project finance, M&A, and corporate governance is highly desirable.
